Terms of Products and Services
Terms of Products and Services
These Terms govern the provision of services, courses, digital products, memberships, events, podcast and media engagements, and tools by The Tarsi Taylor Way. By engaging us, purchasing a course, joining a program, attending an event, or otherwise transacting with us, you agree to these Terms.
Part AGeneral Terms
A1.Definitions
- "Client" means the person or entity engaging us, purchasing from us, attending an event, or accessing a product or service.
- "Deliverables" means any reports, written advice, recordings, recommendations, frameworks, materials, course content or other outputs we produce or provide.
- "Engagement" means the agreed scope of work, course, product or service.
- "Fees" means the amounts payable by the Client.
- "Materials" means content, frameworks, methodologies, templates, designs, recordings and other intellectual property.
- "Services" means our advisory, consulting, valuation, due diligence, performance audit, education, transaction and other professional services.
A2.Agreement structure — instruction letter prevails
Where we provide an instruction letter, engagement letter, proposal or scope of work, that document forms the primary agreement between the parties.
In the event of any inconsistency between these Terms and an instruction letter or engagement document, the instruction letter or engagement document will prevail.
The order of precedence is therefore:
- The signed instruction letter, engagement letter or written proposal
- These Terms of Products and Services
- Other published terms (such as course-specific terms or event terms)
This structure protects the Client and us by ensuring each engagement is governed by the specific scope, fees, payment structure, timing, deliverables and conditions set out in the relevant engagement document.
A3.Quotes and proposals
Quotes and proposals are valid for the period specified, or 30 days if no period is specified.
Quotes and proposals are based on information provided by the Client at the time. We reserve the right to revise pricing or scope where the information later changes, scope expands, or assumptions prove incorrect.
A4.Payment, pricing and GST
All prices are stated in Australian Dollars (AUD).
Prices may be quoted either inclusive or exclusive of GST, as specified in the relevant proposal, estimate, instruction letter or invoice. Where GST is applicable, it will be clearly identified.
Fees are payable on the terms stated in the relevant instruction letter, proposal, invoice or course checkout. Payments may be processed by us, by Stripe, by Kajabi or by another third-party payment provider.
A5.Invoices, payment terms and enforcement
Payments are due in accordance with the terms set out in the relevant instruction letter, proposal or invoice.
We reserve the right to:
- Withhold delivery of reports, deliverables or services until payment obligations are met
- Pause or delay work where required information or payments are outstanding
- Suspend access to courses, memberships or digital products where payment obligations are outstanding
Late payment terms, interest, administrative fees, recovery costs or other charges may apply where specified in the relevant engagement documentation, instruction letter or invoice. The Client is responsible for all reasonable costs of recovery of unpaid amounts, including debt collection costs and legal costs on a solicitor-client basis where specified in the engagement documentation.
A6.Client obligations
The Client must:
- Provide accurate, complete and current information
- Provide information requested by us in a timely manner
- Cooperate with us during the engagement
- Comply with these Terms and any specific engagement terms
- Pay fees when due
A7.Reliance on information provided
We rely on the information provided by the Client. We do not independently verify all information unless expressly agreed.
If information is incomplete, incorrect, out of date or misleading, the engagement, deliverable, recommendation or output may be affected. We are not responsible for outcomes resulting from inaccurate information provided by or on behalf of the Client.
A8.Scope of work and changes
We will perform the services within the scope agreed. Scope changes (additional work, additional deliverables, expanded review, urgent timeframes) may attract additional fees and revised timelines, which we will discuss with the Client before proceeding.
A9.Turnaround times
Estimated timelines are indicative only. Actual delivery times depend on the complexity of the engagement, completeness of information provided, third-party responsiveness, and our capacity. We are not liable for delays caused by missing information, third-party delay or events outside our reasonable control.
A10.Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the engagement, except where:
- Disclosure is required by law
- Information becomes publicly available other than by breach of these Terms
- The disclosing party consents in writing
- Disclosure is to professional advisors, contractors or service providers under similar confidentiality obligations
A11.Intellectual property
All Materials, Deliverables, frameworks, methodologies, templates, calculators, estimators, course content, written reports, recordings and other outputs created by us — whether before, during or after an engagement — remain our intellectual property unless expressly transferred in writing.
The Client is granted a limited, non-exclusive, non-transferable licence to use the Deliverables for the purpose stated in the engagement. The Client must not:
- Copy, distribute, share, on-sell, sublicense, publish or republish the Deliverables
- Use the Deliverables for any purpose other than the agreed purpose
- Use the Deliverables to train, fine-tune or build AI systems
- Use the Deliverables to build competing services, frameworks or products
- Remove our branding, attribution or copyright notices
A12.Limitation of liability — general
To the maximum extent permitted by law, and subject to clause A14 (Australian Consumer Law):
- Our total aggregate liability under or in connection with any engagement is limited to the fees actually paid by the Client to us under that engagement in the 12 months preceding the relevant claim.
- We are not liable for indirect, consequential, incidental, special, exemplary or punitive loss, including loss of profits, revenue, data, opportunity, savings, goodwill or business reputation.
- We are not liable for any decision made by the Client based on a Deliverable, recommendation, observation, course content or output.
A13.Indemnity
To the maximum extent permitted by law, the Client indemnifies us against all loss, damage, liability, claim, cost and expense (including reasonable legal costs on a solicitor-client basis) arising from or in connection with:
- The Client's breach of these Terms
- The Client's breach of any law
- Information provided by or on behalf of the Client that is inaccurate, incomplete or misleading
- Any third-party claim arising from the Client's use of the Deliverables or Materials
A14.Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.
Where the Australian Consumer Law applies and our liability cannot lawfully be excluded, our liability is limited (to the extent permitted by law and at our option) to:
- For services: re-supplying the services, or paying the reasonable cost of having the services re-supplied; and
- For goods: replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of replacement, equivalent goods or repair.
A15.Force majeure
Neither party is liable for failure or delay caused by events outside reasonable control, including natural disasters, fire, flood, illness, pandemic, civil unrest, telecommunications failure, internet outage, third-party platform failure or government action. The affected party must notify the other and use reasonable efforts to resume performance.
A16.Governing law
These Terms are governed by the laws of Queensland, Australia, and the parties submit to the exclusive jurisdiction of the courts of Queensland.
A17.Complaints
If the Client has a concern with our services, the Client should contact us first in writing, and we will respond promptly and seek to resolve the matter in good faith.

This Part B applies to professional services we provide, including rent roll valuations, due diligence, performance audits, growth advisory, exit strategy, acquisition strategy, strategic consulting and related services. Part A also applies.
B1.Rent roll valuations
- The scope, purpose, methodology assumptions and intended use of any valuation are set out in the engagement letter or instruction letter.
- Each valuation report is prepared for the named Client and the stated purpose only.
- The valuation must not be used, relied upon, distributed, reproduced or referred to for any other purpose, by any other party, without our prior written consent.
- The valuation relies on the information provided to us. The opinion of value may change if information is incomplete, incorrect, withheld, or if market conditions or other relevant factors change.
- We do not guarantee any sale price, finance approval, transaction outcome, market movement, buyer demand or future value.
- A valuation is not legal, tax, accounting, lending, financial product, investment or business advice.
- The use of the valuation by any third party (including financiers, accountants, solicitors or other advisors) is at their own risk and subject to our written consent where required.
B2.Rent roll due diligence
- Due diligence engagements are scoped to the purpose, size and instructions agreed in writing.
- Findings are based on the information available to us at the time of the review.
- Due diligence does not guarantee that all issues, risks or liabilities will be identified.
- Due diligence is not legal advice.
- Due diligence is not a substitute for solicitor, accountant, financier, taxation or compliance advice. The Client is responsible for engaging suitably qualified advisors to address legal, financial, taxation and compliance issues.
- Our interpretation, judgement and commentary form part of a commercial review of the rent roll information and are not a guarantee of completeness, accuracy or future performance of the portfolio.
B3.Rent Roll Performance Audit
- A Rent Roll Performance Audit is a commercial business improvement review. It is not a formal due diligence report unless expressly agreed in writing.
- A Performance Audit is not a formal valuation unless expressly agreed in writing.
- A Performance Audit is not a guarantee of profit increase, value uplift, sale outcome, finance outcome, compliance outcome, growth outcome or business performance.
- The audit relies on information supplied by the Client. We do not independently verify all information unless expressly agreed.
- Recommendations are general commercial recommendations and should be considered by the Client together with their accountant, solicitor, financier, compliance advisor and other professional advisors before implementation.
- The specific assessment criteria, interpretation framework and review methodology used in our Performance Audits are proprietary and may evolve.
B4.Strategic consulting, growth advisory, exit strategy and acquisition strategy
- These engagements are advisory only unless expressly stated otherwise in writing.
- The Client remains responsible for all decisions, implementation, execution and outcomes.
- We do not guarantee results, revenue, profit, valuation uplift, sale price, finance approval, acquisition success, retention, growth or any other commercial outcome.
- Advisory work is not legal, tax, accounting, lending, financial product, investment or insurance advice.
B5.Buy A Rent Roll and brokerage separation
Buy A Rent Roll operates as a connected transaction and marketplace pathway.
Any brokerage, agency, transaction or deal-making services are governed by separate engagement terms where applicable.
Nothing in these Terms constitutes a brokerage or agency relationship unless expressly agreed in writing.
Information on the Website, Knowledge Hub, podcast, courses, social media, newsletter or in any general communication does not create a brokerage engagement, agency appointment, listing authority or transaction representation.
Where a transaction proceeds through Buy A Rent Roll, the Client should review and rely on the relevant separate agreement, terms and disclosures provided by Buy A Rent Roll.
B6.Commercial judgement and no guarantee of outcomes
Our services are based on commercial analysis, experience and the information provided to us at the time.
All decisions remain the responsibility of the Client.
We do not guarantee outcomes, including (without limitation):
- Sale price
- Valuation outcome
- Transaction success or completion
- Finance or refinance approval
- Buyer retention
- Profit, revenue or business performance
- Market movement or buyer demand
- Compliance, taxation or legal outcome
- Acquisition, growth or strategic outcome
Reports, advice, opinions, recommendations and Deliverables are based on a commercial assessment of the information available to us at the relevant time. They reflect our professional judgement and are not warranties or guarantees of any future state or outcome.
B7.Reliance, third-party use and assignment
Reports, advice, opinions, recommendations and Deliverables are prepared for the Client and may not be relied on by any third party unless we agree in writing. No assignment, novation or transfer of the benefit of an engagement is permitted without our prior written consent.
B8.Cancellation and refunds — professional services
To the extent permitted by law, payments for professional services are non-refundable once work has commenced.
- Deposits, commencement fees, retainers, upfront payments and staged payments are non-refundable once the relevant stage of work has commenced.
- If the Client cancels an engagement after work has commenced, the Client remains responsible for fees for work completed, time reserved, administrative costs and reasonable third-party costs incurred or committed.
- Reports and Deliverables will not be released until all payment obligations are met in accordance with the engagement.
- Urgent or priority work may attract additional non-refundable fees once accepted.
Nothing in this clause excludes the Client's rights under the Australian Consumer Law.

- Membership programs (including REBOC VIP) may include trial periods or specific cancellation terms as outlined at the time of signup. Where a free or discounted trial period applies, cancellation must be made before the trial ends to avoid being charged.
Nothing in this clause excludes Australian Consumer Law guarantees that cannot be excluded.
C7.Payment plans and failed payments
- Payment plans must be paid in full according to the schedule agreed at purchase.
- If a scheduled payment fails, we may suspend access to the course, product or membership until the payment is made; re-attempt payment in line with the payment processor's standard practices; and charge a reasonable administrative fee for failed payment recovery.
- The Client remains responsible for the full balance regardless of whether they continue to access the content.
- Cancellation of a payment plan does not entitle the Client to refund of payments already made, except where required by law.
C8.Chargebacks
If the Client disputes a charge, the Client must contact us first to attempt to resolve the issue before initiating a chargeback. Unjustified chargebacks may result in suspension or termination of access; recovery of associated chargeback fees and administrative costs; reporting to relevant credit or platform providers; and legal action where appropriate.
C9.Memberships, VIP programs and recurring billing
- Memberships and VIP programs (including REBOC VIP) are billed on a recurring basis as stated at signup (e.g. monthly).
- Members may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial periods, except where required by law.
- We may change membership pricing, features or content from time to time. We will provide reasonable notice of any material changes.
- Founding-member or grandfathered pricing applies only as expressly stated at signup and on the terms set out at the time.
C10.Intellectual property — special note
All course content, frameworks, methodologies, templates, calculators, estimators, recordings, transcripts, slides, materials, methodologies, designs and supporting resources remain our intellectual property. Purchase grants access — not ownership — and unauthorised use may result in termination, legal action and recovery of costs.
Part DEvents, Podcast, Media and Speaking
D1.Speaking engagements
Speaking engagements (including keynotes, panels, training, workshops and podcast guest appearances on third-party shows) are subject to a separate written speaking agreement between us and the booking party. Website content does not create or commit us to a speaking engagement.
D2.Event attendance
- Attendance at events is subject to event-specific terms (including ticket terms, refund terms, code of conduct, photography and recording terms, and venue terms).

- Guests' views, opinions and statements are their own and do not necessarily reflect our views.
- Information shared in podcast or media content may date over time and should not be relied on as current.
D4.Photography and promotional rights at our events
Where we host or co-host events, attendees acknowledge that photography, video and audio recording may take place. By attending, you consent to use of recordings for marketing, promotional, educational and editorial purposes, unless you have notified us in writing in advance and we have confirmed exclusion.

- Formal valuations
- Formal due diligence
- Finance approvals or pre-approvals
- Legal, accounting or taxation advice
- Investment or financial product advice

E5.Formal advice requires a separate engagement
Formal valuations, due diligence, performance audits and advisory services require a separate written engagement with us.
